Terms of Service

These Terms of Service govern your use of the Lumina platform. Please read them carefully. If anything is unclear, email us at legal@lumina.co before using the service.
1. Agreement to terms
By creating a Lumina account or using any part of the Lumina platform, you agree to be bound by these Terms of Service ("Terms"). If you are using Lumina on behalf of a business, you represent that you have the authority to bind that business to these Terms.
If you do not agree to these Terms, do not use Lumina.
2. The Lumina service
Lumina provides a business operating platform for learning businesses, including:
- Contact relationship management (CRM) - Automated email campaign and sequence tools - Payment processing (via Paystack and Stripe) - Invoicing and coupon management - Website and landing page builder - Gamification and engagement tools - Analytics and reporting
We reserve the right to modify, suspend, or discontinue any part of the service at any time, with reasonable notice where possible.
3. Your account
You must provide accurate information when creating your account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
You must notify us immediately at security@lumina.co if you suspect unauthorised access to your account.
Each account represents a single business entity. You may not use one account to operate multiple unrelated businesses.
4. Subscription and billing
Plans: Lumina is offered on a subscription basis. Plan details, including pricing and feature limits, are described on our Pricing page and are subject to change with 30 days' notice.
Trial: New accounts receive a 14-day free trial with full access to the selected plan. No credit card is required to start a trial.
Billing cycle: Subscriptions are billed monthly or annually in advance, depending on your chosen billing cycle.
Upgrades and downgrades: You may change your plan at any time. Upgrades take effect immediately with a prorated charge. Downgrades take effect at the start of the next billing cycle.
Late payments: If a payment fails, we will retry for 7 days before suspending your account. Your data is retained for 90 days after suspension to allow reactivation.
Refunds: We do not offer refunds for partial months. If you cancel, you retain access until the end of your current billing period.
5. Acceptable use
You agree not to use Lumina to:
- Send unsolicited bulk email (spam) - Transmit or store illegal, harmful, or fraudulent content - Violate any applicable law, including data protection laws, anti-spam laws (CAN-SPAM, GDPR, CASL, NDPR), and consumer protection regulations - Attempt to gain unauthorised access to any part of the platform or its infrastructure - Resell or sublicense access to Lumina without our written permission (except where permitted on the Scale plan) - Use the platform to operate businesses unrelated to learning, education, coaching, or related fields without our prior written consent
We reserve the right to suspend or terminate accounts that violate these terms, without prior notice in cases of serious or repeated violation.
6. Your contacts and data
You are responsible for ensuring you have a lawful basis for storing and communicating with the contacts in your Lumina CRM. This includes, but is not limited to, obtaining appropriate consent for email marketing where required by applicable law.
You represent and warrant that your use of Lumina to contact individuals complies with all applicable anti-spam and data protection laws in your jurisdiction and the jurisdiction of your contacts.
We process your contacts' data on your behalf. See our Privacy Policy and Data Processing Agreement for details.
7. Email sending
Lumina provides email delivery infrastructure for campaigns and automated sequences. By using these features, you agree to:
- Only send emails to contacts who have opted in to receive communications from you - Include a functioning unsubscribe mechanism in all marketing emails - Honour unsubscribe requests within 10 business days - Maintain a complaint rate below 0.1% (per our email delivery providers' requirements) - Not send emails that contain misleading headers, subject lines, or sender information
We may suspend email sending for accounts that generate excessive bounces, spam complaints, or unsubscribes, in order to protect our shared infrastructure.
8. Payments and third-party processors
Payment processing is provided by Paystack and/or Stripe. By enabling payments in Lumina, you agree to the terms of the applicable processor:

Lumina charges a platform fee as part of your subscription. We do not charge additional transaction fees beyond your subscription cost. Payment processors charge their own fees directly.
You are responsible for your tax obligations arising from sales made through Lumina. Lumina is not a payment processor or tax agent.
9. Intellectual property
Your content: You retain ownership of all content you create or upload to Lumina — including course materials, email templates, website pages, and contact data.
Our platform: Lumina and all associated trademarks, software, and documentation are owned by Lumina Technologies Ltd. These Terms do not grant you any rights to our intellectual property beyond the limited licence to use the service.
Feedback: If you provide feedback or suggestions, we may use these to improve Lumina without obligation to you.
10. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party in connection with Lumina, and not to disclose it to third parties without prior written consent, except as required by law.
11. Limitation of liability
To the maximum extent permitted by law, Lumina shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the service.
Our total aggregate liability for any claims under these Terms shall not exceed the amount you paid to Lumina in the 12 months preceding the claim.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Lumina Technologies Ltd and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of Lumina, your violation of these Terms, or your violation of any third party's rights.
13. Termination
By you: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.
By us: We may terminate or suspend your account immediately if you materially breach these Terms, engage in fraudulent activity, or pose a security or reputational risk to Lumina or other users.
Effect of termination: Upon termination, your access to the platform ceases. We will retain your data for 90 days, during which you may request an export. After 90 days, data is permanently deleted.
14. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
For EU or UK customers, nothing in this clause removes your rights under mandatory consumer protection laws in your country of residence.
15. Changes to these Terms
We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by email and by posting the updated Terms on this page. Continued use of Lumina after the effective date constitutes acceptance of the updated Terms.
